American Securities has agreed to acquire Emerald Performance Materials LLC, a Cuyahoga Falls, Ohio-based specialty chemicals company, from Sun Capital Partners. No financial terms were disclosed, but a prior Reuters report puts the price-tag above $1 billion. www.emeraldmaterials.com
Deltek, a Herndon, Va.-based portfolio company of Thoma Bravo, has acquired Axium, a Portland, Ore.–based provider of accounting and project management solutions for architecture and engineering firms. No financial terms were disclosed. www.deltek.com

Wasserstein & Co. has agreed to repurchase ALM Media, publisher of The American Lawyer and other legal trade publications, from Apax Partners and RBS. Joining Wasserstein will be the Ontario Pension Board, Pantheon Ventures, HighVista Strategies and Honeywell Capital Management. No financial terms were disclosed, but the NY Times reports a price-tag of around $417 million. Apax originally paid $630 million to acquire ALM back in 2007. www.alm.com

Cnova NV, the global ecommerce unit of French retailer Casino (Paris: CO), has filed for a $1 billion IPO. It plans to trade under ticker symbol CNV, with Morgan Stanley and J.P. Morgan serving as lead underwriters. The company reports a $31 million net loss on nearly $4 billion in 2013 revenue. www.groupe-casino.fr
OneSavings Bank PLC, a British lender to landlords and small businesses, has raised £134 million in its IPO. It will trade on the LSE under ticker symbol OSB. OneSavings is controlled by J.C. Flowers & Co., and has an initial market cap of £413 million. www.osb.co.uk

Aduro BioTech The Carlyle Group is talking to bankers about an auction process for British mini-cab companyAddison Lee Ltd., according to Bloomberg. Carlyle acquired the company just over a year ago for approximately £300 million. www.carlyle.com
Alibaba Group has agreed to acquire a 50% stake in Chinese football club Guangzhou EvergrandeF.C. from Evergrande Real Estate Group for nearly $200 million. www.alibaba.com

E2open (Nasdaq: EOPN) has acquired Serus Corp., a Santa Clara, Calif.-based provider of operations management software for manufacturing, for approximately $18.5 million at closing and up to another $7.5 million in earnouts.
